Terms of Service

These Terms of Service (the "Terms") are an agreement between you and ZINI advertising, an Israeli registered business (Registration No. 026580431, David Ben Gaon 36, Nahariya, Israel) (the "operator", "we", "us"), the operator of The Top Board (the "Service"). The Service is a one-time paid promotional placement (not a subscription) on a public leaderboard: the amount you pay affects ranking, rank duration is not guaranteed, and no traffic, clicks, leads, sales, conversions, or return on investment is guaranteed.

1. Acceptance of These Terms

By using the Service, submitting a listing, or completing a payment, you agree to these Terms, the Rules, the Acceptable Use Policy, and the Refund Policy, each of which is part of this agreement. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. The Service is intended for business and commercial promotional use. If you use the Service on behalf of a company or another person, you represent that you are authorized to bind them to these Terms.

3. What the Service Is

The Service is a public leaderboard of paid promotional placements. Businesses submit a public URL — a website, product, app, project, or other destination — and pay a one-time promotional placement fee; listings are ordered by their active paid bid amount. Every listing on the board is a paid advertisement placed by its submitter. A listing's presence or position is not a review, endorsement, recommendation, or quality assessment by us.

4. Bids and How Ranking Works

A "bid" is a one-time promotional placement fee, in whole US dollars, that sets a listing's active bid amount. It is not an auction deposit, wager, investment, stored balance, or credit. Listings are ranked by active bid amount from highest to lowest. If two listings have exactly the same active bid amount, the listing whose bid became effective earlier ranks higher; any remaining tie is resolved by a deterministic internal tiebreak so ordering is always well defined.

5. Bid Amounts

Bids must be whole US dollar amounts of at least $1 and at most $999,999. We may change these limits for future purchases at any time.

6. Increasing an Existing Listing's Bid

To raise an existing listing's bid, you pay the difference between the current bid and the new target amount. Payments apply additively: if the listing's bid changed while you were completing checkout, your payment still increases the bid by the full amount you paid. Because other bids can also change during that time, the resulting position may be above or below the rank quoted at checkout.

7. Activation; No Reservation

A bid takes effect promptly after the payment provider confirms the payment. Starting checkout does not hold, reserve, or lock any position, price, or rank. Only completed payments affect ranking, and any other completed payment can change the board at any time, including while your checkout is in progress.

8. No Guaranteed Results; Rank Can Change

Payment buys activation of a listing at the bid amount and nothing more. We do not promise or guarantee any particular rank (including #1), any minimum time at any rank, permanence of a position, traffic, impressions, clicks, leads, sales, or return on investment. A paid placement does not guarantee that a listing will keep its current rank: rankings may change whenever other participants purchase or increase paid placements in accordance with the applicable Board rules, and another completed bid can lower your position at any moment. A later decline in rank does not shorten a listing's placement period (see Section 9) and is not, by itself, grounds for a refund.

9. Paid Listing Duration

A paid listing is a one-time promotional placement and does not create a subscription: there is no recurring charge and nothing renews automatically.

Subject to these Terms — including the Acceptable Use Policy and our moderation, removal, fraud, chargeback, refund, and legal-compliance rights described below — a paid listing will remain available on the Board on which it was purchased for at least twelve (12) months from the date its paid placement is activated.

This twelve-month period guarantees continued availability of the listing, not any particular rank, position, or number of impressions, clicks, visitors, leads, sales, or other result. As described in Sections 7 and 8, rank can change at any time, and a change in rank does not shorten this period.

After the initial twelve-month period, the listing may continue to remain available for as long as the applicable Board or the Service continues to operate, but we do not promise perpetual, lifetime, or indefinite availability. If we permanently discontinue the applicable Board or the Service during the guaranteed twelve-month period, Section 22 describes the remedy.

10. Additional Boards

A "Board" is a leaderboard surface within the Service. The Service today operates a single primary leaderboard (the "Main Board"). We may introduce additional leaderboards, boards, categories, editions, or similar promotional surfaces in the future.

Unless we expressly state otherwise at the time of purchase, a paid placement applies only to the specific Board on which it was purchased. Launching a new Board does not automatically transfer, duplicate, reset, cancel, or replace an existing paid placement on another Board, and does not change the placement, ranking, or duration of any listing already purchased on the Main Board. Participation on a newly launched Board may require a separate paid placement.

The Main Board is continuous and is not reset on a weekly, monthly, seasonal, or other recurring basis. Any future Board may have its own rules or format, which will not retroactively change listings already purchased on the Main Board. We may archive a Board after the placement commitments applicable to that Board have been satisfied.

11. Payment Terms

All prices are in US dollars. Payment is due in full at checkout. A placement is activated only once the payment provider reports the payment as completed. Quotes shown before checkout are informational and can become outdated before you pay.

12. Taxes

Whether tax (such as VAT or sales tax) applies to a purchase depends on the operator's configuration and applicable law, and will be shown at checkout where applicable. Tax never counts toward a listing's bid amount and never affects ranking.

13. Payment Processing

Payments are processed by an external payment provider on that provider's hosted payment page. We never receive or store full card numbers or CVV codes. The active payment processor for this deployment is a test payment provider (development only).

14. Refunds

Refunds are governed by the Refund Policy, which is incorporated into these Terms by reference. In short: completed placements are generally non-refundable merely because rankings changed or performance disappointed, while duplicate charges, payment errors, and failed activations are refunded. In addition, if we permanently discontinue the applicable Board or the Service during a listing's guaranteed twelve-month period, the prorated remedy in Section 22 applies.

15. Chargebacks and Payment Disputes

If a payment is reversed, disputed, or charged back, we may remove the corresponding ranking value from the listing and may hide or remove the listing itself while the dispute is open or after it resolves against the payment. Contact us first — most payment problems are faster to fix directly.

16. Listing Authorization

By submitting a URL you represent that you are authorized to promote it. Payment does not grant ownership of, or exclusive rights to, any domain, listing, name, or trademark. If a rightsholder complains about a listing, we may hide or remove it as described in our Copyright & Trademark Complaints policy.

17. Listing Metadata

We fetch the title, description, and images of the destination site to display the listing. By submitting a listing you grant us a non-exclusive license to fetch, store, reproduce, and display that material on the Service for as long as the listing exists. Third-party names, logos, and trademarks remain the property of their owners.

18. Prohibited Content

Listings must comply with the Acceptable Use Policy. We may reject or remove any listing that violates it.

19. Moderation and Removal

We may review, reject, hide, edit displayed metadata of, or remove any listing at any time, including for policy violations, legal reasons, rightsholder complaints, security concerns, or risk to users. Moderation decisions are made at our reasonable discretion, subject to applicable law. The twelve-month availability commitment in Section 9 is expressly subject to these rights.

20. Fraud and Manipulation

Manipulating the Service — including bid manipulation schemes, artificial click generation, automated abuse, or interfering with payments or statistics — is prohibited and may result in removal of listings and refusal of future purchases.

21. Click Statistics

Click and traffic figures shown on the Service are informational estimates. They are filtered for suspected automated or abusive activity and may be adjusted. We make no warranty as to their accuracy or completeness, and they are not a billing or performance metric.

22. Availability; Board or Service Discontinuation

We aim to keep the Service available but do not warrant uninterrupted or error-free operation. The Service may be modified, suspended, or discontinued, in whole or in part, at any time.

If we permanently discontinue the applicable Board or the Service before the end of a listing's guaranteed twelve-month placement period (see Section 9), for reasons unrelated to the purchaser's breach of these Terms, illegality, fraud, chargeback, refund, or a removal required by law or by these Terms, the purchaser's remedy will be a prorated refund of the paid placement fee attributable to the unused portion of that guaranteed period, to the extent required or permitted by applicable law. Taxes already remitted and other amounts that cannot legally or practically be refunded may be excluded to the extent permitted by applicable law.

Discontinuation of a Board or the Service does not create any right to compensation for lost traffic, impressions, clicks, visitors, leads, sales, profits, rank, customers, or business opportunities, or for any other consequential or indirect commercial loss; those limitations are addressed in Section 26 (Limitation of Liability).

23. Our Intellectual Property

The Service — including its software, design, and original content, but excluding material fetched from listed destination sites — belongs to the operator or its licensors. These Terms grant you no rights in it other than normal use of the Service.

24. Suspension and Termination

We may suspend or terminate your access to the Service, or remove your listings, for violation of these Terms or the incorporated policies, for legal or security reasons, or where required by a payment provider or authority. Provisions that by their nature should survive (including Sections 15, 16, 23, 25, 26, and 27) survive termination.

25. Disclaimer of Warranties

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by applicable law. We do not warrant the content, legality, or safety of listed third-party destinations.

26. Limitation of Liability

To the extent permitted by applicable law, we are not liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, or data, and our total aggregate liability arising out of the Service is capped at the amounts you paid us in the 12 months before the event giving rise to the claim. 27. Indemnification

To the extent permitted by applicable law, you agree to indemnify the operator against third-party claims arising from your listings, your destination, or your breach of these Terms. [Subject to configuration and review by the operator's counsel — governing law/jurisdiction dependent.]

28. Consumer Rights

The Service is aimed at business users. If, despite that, mandatory consumer protection law applies to a purchaser, nothing in these Terms waives or limits rights that cannot be waived or limited under that law.

29. EU/UK Withdrawal Rights

The Service begins immediately upon activation of a placement. Where a statutory withdrawal (cooling-off) right applies, checkout may require your express request for immediate performance and your acknowledgment of the effect on the withdrawal right before payment. 30. Governing Law

These Terms are governed by the law of Laws of the State of Israel, without regard to conflict-of-law rules, except where mandatory law provides otherwise. [Subject to configuration and review by the operator's counsel — governing law/jurisdiction dependent.]

31. Dispute Resolution

Disputes arising out of these Terms or the Service will be brought before Courts of competent jurisdiction in Israel, except where mandatory law grants you a different forum. [Subject to configuration and review by the operator's counsel — governing law/jurisdiction dependent.]

32. Changes to These Terms

We may publish new versions of these Terms. Each new purchase is made under the version in force at the time of that purchase, and every checkout records the exact document versions accepted. Historical acceptance records are retained and are not rewritten.

33. Severability

If any provision of these Terms is held unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions stay in effect.

34. Minors

The Service is not directed to anyone under 18. Do not use the Service if you are under 18.
